EQS-PVR: Manz AG: Release according to Article 43, Section 2 of the WpHG [the German Securities Trading Act] with the objective of Europe-wide distribution

Mr. Eng Kee Tan, Penang, Malaysia, informed us on 05.12.2024 in connection with the exceeding of the threshold of 15 % of the voting rights from shares in Manz AG on 08.11.2024 in accordance with Article 43 Section 1 WpHG as follows:

1. Objectives of the acquisition of the voting rights (Section 43 para. 1 sentence 1 and sentence 3 WpHG)

1.1 The acquisition of the interest in Manz AG serves the implementation of strategic objectives.
1.2 The notifying party intends to acquire further voting rights in Manz AG within the next twelve months by purchase or otherwise.
1.3 The Notifying Party does not intend to exert any influence on the composition of the administrative, management and supervisory bodies of Manz AG.
1.4 The Notifying Party intends to significantly change the capital structure of Manz AG (in particular with regard to the ratio of equity and debt financing and the dividend policy).
2. Origin of the funds used to acquire the voting rights (Section 43 para. 1 sentence 1 and sentence 4 WpHG)

The voting rights were acquired using the Notifying Party's own funds.
